U.K. Modern Slavery Act Statement
For the Year Ended December 31, 2021
Introduction
WM International Holdings Ltd and its UK subsidiaries (“WMIL”) are opposed to all forms of slavery, human trafficking and forced labour. The WMIL Board of Directors believes that, because of the nature of WMIL’s business and its supply chains, the risk of WMIL becoming involved in the support or encouragement of slavery, human trafficking or forced labour is minimal.
Organisational Structure
WMIL is incorporated in the UK. WMIL’s ultimate parent company is White Mountains Insurance Group, Ltd., incorporated in Bermuda.
Business Operations
WMIL is engaged in the business of making opportunistic and value-oriented acquisitions of businesses and assets in the insurance, financial services and related sectors, operating these businesses and assets through its subsidiaries and, if and when attractive exit valuations become available, disposing of these businesses and assets.
WMIL does not act as a producer or retailer of physical goods, and has no supply chains relating to such activities. As part of the service industry, WMIL relies heavily on people and intellectual property rather than physical assets, therefore WMIL invests in its people and that of its business partners and suppliers.
Supply Chains
As an acquirer and operator of insurance and financial services businesses, the company’s supply chains are limited. Where WMIL outsources a function (such as IT or HR), it engages reputable professional firms.
Policy on Slavery and Human Trafficking
WMIL aims to ensure that there is no slavery, human trafficking or forced labour in any part of its business or supply chains. This reflects the company’s determination (i) to act ethically and with integrity in its relationships with suppliers and business partners and (ii) to promote the same high standards in their own operations. WMIL operates under a Code of Business Conduct as well as other risk management policies and procedures designed to prevent a wide range of prohibited conduct, including slavery, human trafficking and forced labor. WMIL maintains resources for the anonymous reporting of illegal, improper or other questionable behavior.
Training and Awareness
In order to promote awareness of the risks of slavery, human trafficking and forced labor, WMIL will communicate this policy to its staff, directors, and service providers and make it available on the WMIL website.
